摘要：加强高校对引进电子资源采购合同的风险识别与管理,形成电子资源采购的合同示范文本,来源于实际工作中的迫切需求。本文通过大量合同原始文本的收集统计,展示国内高校图书馆电子资源进口代理合同的整体情况和核心条款,梳理分析合同条款中存在的问题,从优化合同条款的结构和内容、落实代理商主体责任等方面提出策略和建议,以期为高校图书馆规避法律风险和争取权益提供参考依据。
There is an urgent practical need to strengthen risk identification and management in university contracts for acquiring imported electronic resources,as well as to build model contract templates for such purchases.The study shows the overall landscape and key terms of electronic resources importing agency contracts in domestic university libraries based on a thorough collection and statistical analysis of original contract texts.Then,the paper identifies and analyzes contract-related issues,giving strategies and recommendations to optimize contractual structure and content while ensuring agents’main responsibilities are fulfilled.The purpose of the study is to establish a reference framework for university libraries to reduce legal risks while protecting their rights and interests.
