摘要：公司治理结构是一个世界性的难题,世界各国对之都进行了有益的探索,但时至今日尚无一个统一的模式可供借鉴。笔者认为,公司治理结构是一个复杂的系统工程,在其制度设计时应充分考虑我国的特殊国情,从宏观层面上树立劳动权利与资本并重的理念,从微观层面上切入点要放在保护小股东利益为基础,增加和完善可诉功能作为其保障途径,方能构建具有中国特色的公司治理结构的有效模式。本文试图从上述几方面作一些有益的探索。
Corporation administration structure is a difficult problem in the world.Even now there is no unified model to draw lessons from while valuable studies have been made by all countries.Corporation administration structure is a complicated systematic engineering and special national conditions of our country must be considered as fully as possible.
