摘要：新形势下的中外合作办学机构正面临着办学质量不高、无法真正吸引优质生源与促进资金回流等问题。破题的关键在于明晰具体的法人类型,依据法人类型确定其产权结构与治理体系,从而提升中外合作办学的实效。中外合作办学机构未来可以根据财产构造的不同分为营利法人与非营利法人。对于营利性中外合作办学机构而言,其治理核心在于公益性与营利性的平衡,因而需要对营利性中外合作办学机构形成多主体、交叉式的监管框架。对于非营利性中外合作办学机构而言,其精准定性应当属于捐助法人,治理核心是通过意思补足调整股权缺失导致的财产权构造的不足,保证理事会或者联合管理委员会的有效参与。对作为非法人组织的中外合作办学二级学院而言,应赋予其办学自主权,聚焦校院两级的资源配置与权责划分。
Under the new situation,sino foreign cooperatively-run schools urgently need to solve the problems such as the low quality,the inability to really promote the source of high quality students and the return of funds.The core of solving the problem is to clarify the type of legal person,and determine its property right structure and governance system according to the type of legal person,so as to ultimately enhance the effectiveness of sino-foreign cooperation in running schools.Sino-foreign cooperatively-run schools can be divided into profit-making legal person and non-profit legal person according to their different property structure.Non-profit schools can be further subdivided into different types of consortia and associations and enjoy different governance structures.For the non-profit sino-foreign cooperatively run schools,it is important to adjust the lack of property rights structure caused by the lack of equity through the meaning,and it needs to ensure the participation of the council or joint management committee.For profit-making sino-foreign cooperatively-run schools,the core lies in the balance between public welfare and profit-making.It is necessary to form a multi-agent,cross type network regulatory framework for profit-making sino-foreign cooperatively-run schools.As unincorporated organizations,sino-foreign cooperatively-run secondary colleges should be given autonomy,focusing on the allocation of resources and division of rights and responsibilities.
